These Terms of Use (the “Terms”) govern your access to and use of all websites that link to or post these Terms, including https://unified.law and any related pages (each, a “Site”), that are operated under the Unified CLO brand.

"Unified CLO” or “Unified” refers collectively to Outside CLO, PC, a U.S. law firm, and Unified Law Group, PB LLC, a legal support company. These Terms also govern your use of any materials, downloads, forms, templates, communications, and services made available by Unified through or in connection with a Site (collectively, the “Service”).

By accessing or using any Site or the Service, you agree to be bound by these Terms.

1. Introduction

SCOPE

These Terms govern your access to and use of the Service and all Sites operated under the Unified CLO brand. By accessing or using any Site or the Service, you agree to be bound by these Terms.

Separate engagements

If you enter into a separate written engagement agreement, statement of work, or other contract with Outside CLO, PC, Unified Law Group, PB LLC, or any affiliated attorney or service provider, that separate agreement will govern the applicable services and will control to the extent of any conflict with these Terms.

Eligibility

By accessing or using the Service or any Site, you represent that you are at least 18 years of age and legally able to enter into a binding contract.

Updates to these Terms

We may update or amend these Terms from time to time by posting a revised version on a Site with a new “Last updated” date. Changes will apply prospectively from the date they are posted. It is your responsibility to review these Terms periodically. If you do not agree to the updated Terms, you must stop using the Service and all Sites.

Notice of binding arbitration and class action waiver

To the fullest extent permitted by law, any dispute or claim related to these Terms, or arising out of or relating to your access to or use of the Service or any Site, will be resolved by binding arbitration on an individual basis and may not be arbitrated or pursued as a class action. 2. No legal, tax, accounting, or other professional advice

General information only

The Service and all information, content, materials, forms, templates, downloads, graphics, text, and other content made available through the Service or any Site (collectively, the “Unified Materials”) are provided for general informational purposes only. The Sites are advertisements for Unified’s legal support, fractional Chief Legal Office, fractional General Counsel, and related services.

The Service and the Unified Materials do not constitute legal, tax, accounting, or other professional advice and are not a substitute for advice from qualified professionals in the applicable subject matter and jurisdiction.

No attorney–client relationship

Accessing or using the Service, downloading or reviewing Unified Materials, contacting us through a Site, or sending us information does not by itself create an attorney–client relationship, fiduciary relationship, or other professional relationship with Unified Law Group, PB LLC, Outside CLO, PC, or any attorney. An attorney–client relationship will arise, if at all, only through a separate written engagement agreement or similar contract with Outside CLO, PC or another properly engaged law firm.

Jurisdictional and factual limitations

Any opinions expressed through the Service are the author’s opinions and may not reflect the views of Unified or any individual attorney. The Service and the Unified Materials may not reflect the most recent developments in the law, may not be complete or accurate, and may not apply in your jurisdiction or to your specific circumstances. You should not act, or refrain from acting, based on any Unified Materials without first obtaining advice from qualified professional advisers.

3. Professional responsibility matters

Advertising and solicitation

The Service is not intended to be, and should not be construed as, a solicitation for legal employment in any jurisdiction where such a solicitation would be improper. Some portions of the Service may be considered attorney advertising in certain jurisdictions. Prior results do not guarantee a similar outcome.

Sensitive communications

Email, internet-based communications, and online submissions are inherently insecure. Emails or other communications sent by you to Unified will not be protected by the attorney–client privilege unless and until an attorney–client relationship has been established and Unified is acting at an attorney’s direction under a written engagement agreement.

Unified cannot guarantee the confidentiality or security of any email, message, file, or information sent to or received from you through the Service, any Site, or otherwise electronically.

Unified will not be liable for any loss, claim, or damage arising out of or relating to our response to any communication that we, in good faith, believe was submitted by you. We have no duty to investigate the validity of, or independently verify, any email or other electronic communication, but reserve the right to require authentication in our discretion.

Principal office and responsible attorney

Unified personnel may work remotely, and Unified Law Group, PB LLC is not a law firm. To the extent rules of professional responsibility require designation of a principal office or a responsible attorney for the Service or any Site, Unified designates its Dallas, Texas office as its principal office and designates Amy Natasha Osteen (Texas Bar No. 24027864) as the attorney responsible for the Sites.

4. Content and licenses

All Unified Materials and other information, data, text, graphics, images, logos, designs, downloads, forms, templates, and other content available through the Service or any Site are owned by Unified or its licensors and protected by applicable intellectual property and other laws. Except as expressly provided in these Terms, you may not use, copy, or exploit any Unified Materials for any public or commercial purpose without our prior written consent.

Subject to these Terms, Unified grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service, the Sites, and the Unified Materials solely for lawful, personal, informational, and non-commercial purposes. Downloading, accessing, or using Unified Materials does not constitute legal, tax, or other professional advice and does not constitute the practice of law.

Any license granted under these Terms does not include resale or commercial use of the Service or Unified Materials; public performance or display; derivative uses; use of data mining, robots, or similar tools; or making any portion of the Service available through a timesharing or service-bureau arrangement, unless expressly authorized by Unified in writing.

5. Modifications to the Service

Unified may modify, suspend, restrict, or discontinue the Service or any Site, in whole or in part, at any time without notice. Unified Materials may contain errors, inaccuracies, or omissions and may not be complete, accurate, or current. Unified may correct any such issues at any time without notice, but does not guarantee that any particular issue will be corrected.

6. Linked websites and third‑party information

The Service may contain links to websites, applications, services, or content maintained by third parties (“Third‑Party Sites”). If you visit any Third‑Party Site, you may be subject to that site’s terms and privacy policy, as well as any laws governing your use of that site and its content.

All links to Third‑Party Sites are provided for convenience only and on an “AS IS” basis. Unified does not necessarily endorse, approve, review, or sponsor any Third‑Party Site or any content, products, services, advertising, or information available there. Unified is not responsible or liable, directly or indirectly, for any loss or damage arising out of or relating to your use of or reliance on any Third‑Party Site or any content, goods, or services available through any Third‑Party Site.

7. User content and feedback

You are solely responsible for all information, data, text, files, messages, documents, and other materials that you upload, post, email, transmit, submit, or otherwise make available through the Service or any Site (“Your Content”). Unified does not undertake to review Your Content before submission and may remove or decline to use any of Your Content in its discretion.

Unified has no obligation to store, retain, back up, or make available any of Your Content and is not responsible for deletion, loss, corruption, or inaccuracy of any such content. To the extent Your Content contains personal information, Unified may collect, use, process, and disclose that information as described in the Privacy Policy and as permitted by law.

If you provide Unified with questions, comments, suggestions, ideas, proposals, or other feedback regarding the Service or any Site (excluding confidential client information provided in the course of an engagement) (“Feedback”), you agree that Unified owns all right, title, and interest in and to such Feedback and may use, disclose, reproduce, modify, distribute, and otherwise exploit it for any purpose without acknowledgment or compensation.

8. User limitations and prohibited

As a condition of accessing or using the Service or any Site, you agree to comply with these Terms and all applicable laws and to provide only truthful, complete, and accurate information.

You further agree not to, and not to attempt to:

Use, reproduce, distribute, or exploit Unified Materials except as expressly permitted.
Upload or transmit material that infringes any third‑party rights or that is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, obscene, hateful, or otherwise objectionable.
Decompile, disassemble, reverse engineer, or otherwise seek to discover source code or underlying ideas associated with the Service.
Probe, scan, or test the vulnerability of any system or network or breach security or authentication measures.
Access or harvest data or Unified Materials through automated means (including scraping or crawling) without Unified’s prior written consent.
Intercept communications not intended for you or interfere with the operation of the Service or any Site.
Use the Service for any commercial purpose not expressly authorized by Unified in writing.
Violate any applicable law or any additional policies Unified discloses to you in connection with the Service.

You further agree not to, and not to attempt to:

9. Intellectual property rights

The Service, the Sites, and all Unified Materials are protected by copyright and other laws. You agree not to use, copy, or distribute any portion of the Service or any Unified Materials except as expressly permitted in these Terms. If you download or print Unified Materials, you must retain all copyright and proprietary notices.

All trademarks, service marks, logos, trade names, and other source identifiers on the Service or any Site are proprietary to Unified or their respective owners. You may not use any such marks without prior written consent. All rights not expressly granted to you in these Terms are reserved

10. Privacy

Unified collects and uses information about you through the Service and our Sites. By using the Service or any Site, you consent to the collection, processing, use, disclosure, and storage of your information as described in our Privacy Policy, which is incorporated by reference.

11. Disclaimer of warranties

To the fullest extent permitted by law, your use of the Service, any Site, and any Unified Materials is at your sole risk. The Service, Sites, and Unified Materials are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults.

Unified and its owners, attorneys, employees, contractors, agents, and representatives (collectively, the “Unified Parties”) disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non‑infringement, accuracy, and quiet enjoyment, and any warranties that the Service will be uninterrupted, secure, or error‑free.

Unified Materials may be inappropriate for your circumstances. Laws may require different or additional provisions to achieve your intended result. You should consult qualified professionals to determine the proper documents, advice, or services for your situation.

12. Limitation of liability

To the fullest extent permitted by law, none of the Unified Parties shall be liable for any consequential, incidental, special, exemplary, punitive, or indirect damages, or for any lost profits, lost revenue, loss of use, loss of data, or business interruption, arising out of or relating to your use of or inability to use the Service, any Site, or any Unified Materials, whether based on contract, tort, strict liability, or any other legal theory, even if a Unified Party has been advised of the possibility of such damages.

To the fullest extent permitted by law, the aggregate cumulative liability of the Unified Parties for all claims arising out of or relating to the Service, any Site, Unified Materials, or these Terms shall not exceed one hundred U.S. dollars (US $100). Your sole and exclusive remedy if you are dissatisfied with the Service, any Site, or any Unified Materials is to discontinue your use of them.

13. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Unified Parties and their successors, assigns, directors, officers, attorneys, employees, contractors, and licensors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Service, any Site, or any Unified Materials; (b) Your Content; or (c) your violation of these Terms or any applicable law.

14. Termination

Unified may restrict, suspend, or terminate your access to or use of the Service or any Site at any time, in its sole discretion and without notice, subject to any separate written agreement that may apply. Upon termination, you must cease using the Service and Sites and destroy any Unified Materials obtained through them, except to the extent retention is required by law. Provisions that by their nature should survive termination (including intellectual property, prohibited activities, disclaimers, limitation of liability, indemnity, dispute resolution, governing law, and general terms) shall survive.

15. Governing law

Any dispute arising out of or relating to these Terms, the Service, any Site, or Unified Materials (each, a “Dispute”) shall be governed by and construed in accordance with the laws of the State of Texas and, where applicable, the Federal Arbitration Act, without regard to conflict‑of‑laws principles.

16. Dispute resolution; class action waiver

Insert your existing arbitration and class action waiver language here, updating entity references to “Unified” or “Unified CLO” as defined in Section 1. The structure can mirror your current clause with: (a) informal resolution; (b) agreement to binding individual arbitration; (c) forum and rules; (d) limited small‑claims carve‑out; and (e) explicit waiver of class, collective, and representative actions.

17. General terms

Your use of the Service or any Site does not create any joint venture, partnership, employment, agency, fiduciary, or similar relationship between you and Unified, except as may be expressly set forth in a separate written agreement.

Any failure by Unified to enforce any right or provision of these Terms will not be a waiver of such right or provision. You may not assign these Terms or any rights or obligations without Unified’s prior written consent; any prohibited assignment is void. Unified may assign these Terms without restriction.

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices expressly incorporated by reference, constitute the entire agreement between you and Unified regarding your use of the Service and Sites, except as supplemented or superseded by any separate written engagement agreement or other contract.

18. State advertising disclosures

Unified Law Group, PB LLC is a legal support company supervised by attorneys from Outside CLO, PC, a Texas-based law firm. Because the Service may be viewed from anywhere in the United States, certain disclosures may be required by the rules of specific states.
