Executive Snapshot
Sushi is a corporate and employment attorney with a soft spot for clean contracts, compliant workforces, and cap tables that actually make sense. She helps U.S. startups and LLCs—whether it’s one founder or a full-blown team—build the right legal foundations for growth. From employment agreements to equity plans, Sushi speaks fluent labor law and founder chaos—bringing clarity, compliance, and calm to fast-moving businesses.
Known for her approachable style, sharp eye for detail, and ability to turn legal jargon into practical action steps, Sushi helps companies stay deal-ready, audit-proof, and confident that their team structures are legally sound.
Why Clients Call Sushi
Growing companies often reach a point where legal work becomes more than drafting documents or answering questions. As businesses hire employees, bring on investors, negotiate commercial relationships, or prepare for strategic transactions, they need legal infrastructure that keeps pace with the business.
Many of the companies Sushi works with spent their early years focused on building products, serving customers, and scaling. Legal documentation can take a back seat during that period. Sushi steps into that gap by organizing corporate records, completing missing governance and employment documentation, populating due diligence data rooms, and preparing companies for financing, acquisitions, and long-term growth.
Clients typically work with Sushi when they are:
· Preparing for investment, financing, or an acquisition by organizing corporate records and strengthening governance.
· Identifying missing consents, resolutions, agreements, and other documentation needed to support prior corporate actions and maintain accurate company records.
· Completing and organizing due diligence materials so the legal record reflects how the business has actually operated.
· Advancing mergers and acquisitions by coordinating post-diligence priorities, preparing corrective documentation, and drafting new agreements needed to move transactions forward.
· Developing employment agreements, workplace policies, equity plans, and other documents that support growing teams.
· Reviewing and negotiating commercial agreements that establish long-term business relationships.
· Working with a legal team that collaborates across disciplines to solve business problems rather than treating each issue as an isolated practice area.
Sushi believes the best legal work does not simply document what a business has done; it creates the foundation that allows the business to keep growing with confidence.
Sushi’s Story
Sushi became a lawyer because she wanted to better understand how the world works. For her, law was never simply about statutes or courtrooms. It was a way of understanding the rules that shape people, businesses, property, rights, and obligations.
She began her legal career in the Philippines, advising individuals and businesses on contracts, employment matters, commercial transactions, and a wide range of legal concerns. The work gave her a strong foundation in legal analysis and client service, but it also taught her that every legal issue is ultimately connected to someone’s goals, challenges, or business decisions. Understanding the law was only part of the job. Helping people navigate it was equally important.
That perspective expanded when Sushi joined Unified. She was drawn to the opportunity to work as part of an integrated Chief Legal Office while gaining exposure to U.S. legal practice, where attorneys work with business leaders rather than outside them. Early on, Amy Natasha Osteen asked her a simple question: “What area of law do you want to focus on?” Sushi’s answer was labor and employment law.
Amy intentionally gave Sushi opportunities to build that practice. Sushi began drafting, reviewing, and negotiating employment agreements, independent contractor agreements, consulting agreements, employee handbooks, workplace policies, separation agreements, and equity compensation documents. Over time, she became one of the team’s primary resources for employment matters, working with clients through every stage of the employment relationship from hiring to separation.
As Sushi’s experience grew, so did the scope of her work. Founder-led companies rarely present legal issues in isolation. An employment question often uncovers governance considerations. A financing round reveals missing corporate approvals. A due diligence review identifies gaps in the company’s records. Working with Unified CLO’s Client Success Teams, her experience naturally expanded into commercial contracts, corporate governance, corporate housekeeping, mergers and acquisitions, compliance, and legal operations.
Much of that growth came through working with Elizabeth Daane, whose approach to governance and strategic legal leadership shaped the way Sushi views her role. Matters involving founder governance, corporate record books, due diligence, and strategic transactions taught Sushi that good legal work is about more than producing documents. It is about building the legal infrastructure that allows companies to grow with confidence.
Whether preparing a company for investment, organizing a data room, identifying missing corporate documentation, or assisting with a transaction, she learned that legal work should remove obstacles, not create them.
That philosophy continues to shape every client engagement. Sushi enjoys bringing order to complexity. To her, success is measured by helping businesses move forward with greater clarity, stronger foundations, and confidence in the decisions ahead.

Unified CLO / Unified Law
Attorney
Since joining Unified CLO, Sushi has worked alongside Fractional Chief Legal Officers serving founder-led companies, executive teams, and growing businesses across the United States. As part of an integrated Chief Legal Office, she contributes to the legal infrastructure that supports hiring, governance, strategic transactions, and long-term growth.
Her work at Unified began with a strong focus on employment matters. Working with employers across multiple U.S. jurisdictions, Sushi prepares employment agreements, independent contractor and consulting agreements, employee handbooks, workplace policies, equity compensation documentation, and separation agreements. That experience gave her a practical understanding of how employment decisions influence culture, operations, risk, and the broader business.
As many Unified CLO clients are founder-led companies experiencing rapid growth, Sushi’s work naturally expanded beyond employment. She now works across corporate governance, commercial transactions, mergers and acquisitions, compliance, and legal operations. Employment matters often intersect with governance. Financing uncovers documentation gaps. Strategic transactions require companies to strengthen the legal foundations built throughout their growth.
Among the matters Sushi has worked on are:
· Corporate governance cleanups and corporate housekeeping projects
· Capital raises and securities compliance initiatives
· Founder equity and equity incentive plan documentation
· Mergers and acquisitions, including due diligence, transaction support, and post-closing integration
· Commercial agreements involving technology, consulting, partnerships, and reseller relationships
· Employment compliance across multiple U.S. jurisdictions
Much of Sushi’s work involves preparing companies for significant business events. She organizes corporate records, identifies missing approvals and governance documents, prepares corrective documentation, populates due diligence data rooms, and strengthens the legal record before financing, investment, or acquisition. By aligning a company’s corporate records with the way the business has actually operated, she gives leadership teams a stronger foundation for the next stage of growth.
Working within Unified CLO has also shaped how Sushi sees legal support. In an integrated legal department, employment, governance, contracts, compliance, and transactions do not operate in separate lanes. They work together to support business decisions, preserve company history, and keep important opportunities from being delayed by avoidable legal gaps.
How Sushi Helps Clients
Employment & Growing Teams
Hiring the right people is one of the most important investments a growing company makes. As organizations expand, employment decisions quickly become intertwined with culture, operations, risk management, and long-term business strategy. The documents behind those decisions should do more than satisfy legal requirements. They should give companies clarity and consistency as they grow.
Working alongside Unified CLO’s Client Success Teams, Sushi develops practical employment frameworks for each stage of the employment relationship. From hiring and onboarding to employee transitions, restrictive covenant agreements, employee handbooks, and equity compensation documentation, she approaches employment law with the understanding that clear expectations today often prevent unnecessary disputes tomorrow. Her goal is not simply to reduce legal risk, but to create documentation that works for both the company and its people.
Corporate Governance & Business Foundations
One of the lessons Sushi has learned from working with founder-led companies is that successful businesses often outgrow their legal infrastructure before they realize it.
Founders naturally devote their attention to building products, serving customers, raising capital, and growing the business. Corporate records, governance documentation, and organizational formalities are often postponed because growth demands attention elsewhere. Eventually, however, investors, lenders, buyers, and boards expect the legal record to tell the same story as the business itself.
Sushi enjoys closing that gap. She organizes corporate records, identifies missing approvals, reconstructs historical corporate actions, prepares governance documentation, and strengthens the legal foundation that supports future growth. She believes good governance is not paperwork for its own sake. It builds confidence, preserves institutional knowledge, and allows leadership teams to make important decisions knowing the company’s legal foundation is as strong as its business.
Mergers, Acquisitions & Transaction Readiness
Transactions rarely succeed because the purchase agreement is well drafted. They succeed because the business is prepared long before negotiations begin.
Through her work on mergers, acquisitions, capital raises, and strategic transactions, Sushi has seen how small documentation gaps can create unnecessary delays during due diligence. Missing approvals, incomplete corporate records, unsigned agreements, and inconsistent governance documents often become larger issues once a buyer or investor begins asking questions.
Her role is to prepare companies before those issues become obstacles. By organizing data rooms, identifying documentation gaps, preparing corrective governance documents, drafting ancillary agreements, and coordinating post-closing documentation, Sushi works with legal teams to build transaction-ready companies rather than simply transaction-ready documents.
Commercial Contracts & Business Relationships
Every contract reflects a business relationship that someone expects to last.
Whether reviewing a consulting agreement, negotiating a technology partnership, or preparing a commercial services agreement, Sushi approaches contracts with the understanding that legal drafting should strengthen the business relationship rather than complicate it. The strongest agreements clearly communicate expectations, allocate risk thoughtfully, and leave both parties with a shared understanding of how the relationship will operate.
For Sushi, a well-drafted contract is not simply legally enforceable. It is a practical roadmap that allows businesses to work together more effectively.
Building Legal Infrastructure That Grows With the Business
Working inside Unified CLO has changed the way Sushi thinks about legal work. Rather than viewing employment, governance, contracts, compliance, and transactions as separate disciplines, she has come to see them as interconnected parts of a company’s legal infrastructure. A hiring decision may affect governance. A financing round may reveal missing corporate approvals. A commercial agreement may influence future diligence. Every legal decision becomes part of a larger business story.
That perspective guides the way Sushi approaches each matter. She brings order to complexity, strengthens the documentation behind important business decisions, and works with legal teams to make sure the legal foundation keeps pace with the company’s growth.

Outside of work, Sushi is naturally curious about the world around her. Her mornings often begin with the Axios Markets newsletter, and it is not unusual for her reading list to jump from business and technology to history, current events, and whatever piece of pop culture everyone seems to be talking about that week. She enjoys learning how different industries, ideas, and trends shape the way people live and work, and she is usually the one sending an interesting article to the team.
When she is away from her desk, you will likely find Sushi listening to a true crime podcast, spending a quiet afternoon at the beach, or trying to improve her pickleball game one rally at a time. Friends and colleagues also know her for her color-coded to-do lists. She will happily admit there is probably a spreadsheet or checklist for almost everything, and more often than not, it actually makes life easier.
